Terms & Conditions

The agreement between you and ResusReady Healthcare Inc. when you use our website, online courses, or in-person training.

Please read carefully before using our services

These Terms form a binding legal agreement between you and ResusReady Healthcare Inc. By checking the acceptance box at sign-up, purchasing a membership or course, or using any part of our Services, you confirm you have read, understood, and agree to be bound by these Terms, our Privacy & Cookie Policy, our Refund & Cancellation Policy, and any course-specific waivers. If you do not agree, we cannot provide you services.

01 Definitions

 

In these Terms, the following capitalized terms have the meanings set out below:

  • "ResusReady," "we," "us," or "our" refers to ResusReady Healthcare Inc., a corporation incorporated under the laws of British Columbia, Canada, together with its directors, officers, employees, instructors, contractors, contributors, agents, successors, and assigns.

  • "You" or "User" means any individual who accesses, browses, registers for, purchases, or uses any of our Services.

  • "Services" means, collectively, our website (www.resusready.ca and subdomains), our ResusReady Online learning platform, all online courses, the AI Tutor feature, downloadable materials, in-person courses, and any other product or service we offer.

  • "Content" means any text, graphics, images, video, audio, narration, slide content, knowledge checks, assessments, illustrations, software, and other material made available through the Services.

  • "Member" means a person who has purchased an active ResusReady Online subscription.

02 Eligibility, Account Registration & Acceptance
 
2.1 Age and Capacity

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding contract.

2.2 Audience and Intended Use

Our Content is designed primarily for healthcare providers and healthcare learners — including paramedics, nurses, physicians, respiratory therapists, EMTs, and students in accredited healthcare programs. While our Services are open to the public, members of the public who are not licensed healthcare providers acknowledge that the Content is delivered in a clinical-practitioner context and is not designed for self-diagnosis, self-treatment, or use in providing care to others outside an authorized scope of practice.

2.3 Acceptance of Terms

You accept these Terms by (a) checking the acceptance box at registration, checkout, or membership sign-up; (b) creating a ResusReady Online account; (c) purchasing any course, membership, or other Service; or (d) attending any in-person course we deliver. Each of these actions constitutes your electronic signature under the Electronic Transactions Act (British Columbia) and equivalent legislation elsewhere in Canada.

2.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@resusready.ca of any unauthorized access. We are not liable for losses arising from your failure to safeguard your credentials.

2.5 Sharing of Access

Your membership is personal to you. You may not share, transfer, sell, sublicense, or allow any other person to use your account. Sharing access is a material breach and may result in immediate suspension or termination without refund.

 

03 Educational Purpose & Clinical Disclaimer

          Educational content only — not medical advice or clinical direction

All Content provided through the Services — including online courses, videos, slide presentations, narration, written materials, simulations, knowledge checks, assessments, AI Tutor responses, downloadable resources, and any in-person instruction — is provided strictly for educational and informational purposes. The Services do not provide medical advice, clinical direction, professional instruction for patient care, or any form of medical, nursing, paramedical, or other licensed professional services. No clinician-patient, instructor-student, or other professional relationship is created by your use of the Services.

3.1 Not a Substitute for Local Protocols, Medical Direction, or Clinical Judgment

You acknowledge and agree that:

  • clinical practice must always be guided by your local protocols, institutional policies, regulatory body standards, medical oversight, and online or direct medical direction;

  • scope of practice varies by jurisdiction, employer, certification level, and professional role, and ResusReady Content may not reflect the scope, equipment, medications, protocols, or procedures applicable to you;

  • medical guidelines, drug dosing, equipment, and standards of care change over time, and you are solely responsible for verifying any information against current authoritative sources before applying it;

  • you are solely responsible for ensuring that any knowledge or skill you apply in clinical practice is within your authorized scope of practice, approved by your employer and governing body, and consistent with current local protocols.

 

3.2 No Guarantee of Competency, Certification, or Outcome

Completion of any ResusReady course, knowledge check, or assessment:

  • does not guarantee clinical competency in any skill, procedure, or area of practice;

  • does not authorize you to perform any procedure beyond your approved scope of practice;

  • does not replace hands-on training, simulation, supervised clinical experience, institutional credentialing, or formal certification, unless we have expressly stated otherwise in writing for a specific course;

  • does not guarantee the outcome of any real-life clinical scenario, patient encounter, examination, employment decision, licensure decision, or continuing-education credit award.

 

Where we reference "CME credit" or continuing education, eligibility depends on your local licensing body or regulatory college, and we make no representation that any course will be recognized for credit by any specific body.

3.3 Medication and Dosing Content

Content covering medication dosing, indications, contraindications, or administration is general educational information. You must follow your local protocols, formulary, and medical direction for all medication decisions. Dosing references in our Content are not prescriptions and must not be relied upon for patient care. Always verify medication information against your authoritative local source before administration.

3.4 AI Tutor

Our AI Tutor feature is a navigation and study aid that helps you locate and interact with Content we have curated. The AI Tutor does not provide medical advice, clinical direction, diagnostic guidance, or treatment recommendations. AI-generated responses may contain errors or omissions, may be incomplete, and must not be used to inform any clinical decision. You agree not to enter patient-identifiable information, protected health information (PHI), or other confidential clinical data into the AI Tutor.

 

04 Assumption of Risk & Release — In-Person Courses

          Important — read before attending an in-person course


Participation in our in-person courses involves inherent and unavoidable risks of personal injury, property loss, and other harm. By registering for or attending any in-person course, you voluntarily assume those risks and you release ResusReady from liability to the maximum extent permitted by law. This Section 4 is a release of legal rights — read it carefully.

4.1 Voluntary Participation

Participation in any ResusReady in-person course is entirely voluntary. You may decline to participate in any activity at any time. You represent that you are physically and medically able to participate, and that you have disclosed to us any condition that could be aggravated by participation. If you are uncertain about your ability to participate safely, you should consult a physician before attending.

4.2 Inherent Risks You Assume

You acknowledge that ResusReady in-person courses may involve, among other things, the following risks, which you understand cannot be entirely eliminated:

  • slips, trips, falls, and other risks of being in a training facility, including the premises of Douglas College, client facilities, or any other rented or borrowed training venue;

  • musculoskeletal injury from performing CPR compressions, lifting or repositioning manikins, kneeling, or other physical components of the training;

  • contact with training equipment, including defibrillator electrodes, intraosseous trainers, airway adjuncts, bag-valve masks, and other clinical devices used in a training setting;

  • contact, including inadvertent contact, with other participants during partnered skills practice, including risks of unwanted physical contact, rough handling of body parts, or being injured by another participant's error or negligence;

  • psychological or emotional distress arising from clinical scenarios, including scenarios involving cardiac arrest, trauma, pediatric emergencies, or death;

  • exposure to communicable illness from other participants, instructors, equipment, or the facility, including respiratory viruses, bloodborne pathogens, and other infectious agents;

  • allergic reaction to materials, disinfectants, or substances used in training;

  • transportation to and from the training venue, including risks associated with your own travel;

  • loss, theft, or damage to personal property at the training venue;

  • acts, omissions, or negligence of other participants, instructors, or third parties present at the venue;

  • conditions or hazards at the training venue that may not be under ResusReady's control, including premises operated by Douglas College or any other host facility or client site.

4.3 Release and Waiver

In consideration of being permitted to participate in any in-person ResusReady course, and to the maximum extent permitted by the laws of British Columbia, you hereby release, waive, and discharge ResusReady from any and all claims, demands, actions, causes of action, damages, costs, and expenses (including legal fees) of every kind, arising out of or in any way connected with your participation, whether caused by the negligence of ResusReady or otherwise, except for liability that cannot lawfully be excluded (including liability for personal injury arising out of the use or operation of a motor vehicle in British Columbia, gross negligence where excluded by law, and intentional wrongdoing).

You acknowledge that this release applies to risks that are foreseeable and to risks that may not be foreseeable at the time you enter into these Terms.

 

4.4 Day-Of Waiver

ResusReady may require you to read and sign a separate course-specific waiver at the start of any in-person course. That waiver supplements, and does not replace, this Section 4. Refusal to sign a day-of waiver may result in you being unable to participate, without entitlement to a refund.

4.5 Insurance

You are responsible for ensuring that you have any health, disability, or other insurance you consider appropriate for your participation. ResusReady carries commercial general liability insurance, but our insurance is for the protection of ResusReady and is not intended to cover your personal losses.

05 Membership, Purchases, Pricing & Renewals

5.1 Subscription

ResusReady Online is sold as a recurring annual subscription. By purchasing a subscription, you authorize us (or our payment processor) to charge the applicable fee at the start of each subscription term until you cancel. Pricing is shown in Canadian dollars unless otherwise stated and is exclusive of applicable taxes, which will be added at checkout.

5.2 Auto-Renewal

 

Subscriptions renew automatically on each anniversary date at the then-current rate. We will provide notice of any price change at least 30 days before the renewal date. You may cancel at any time before renewal through your account dashboard or by contacting hello@resusready.ca.

5.3 Payment

We accept the payment methods made available at checkout. All payments must be made in full at the time of purchase unless otherwise specified. We reserve the right to change accepted payment methods at any time.

5.4 Refunds and Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Refund & Cancellation Policy with respect to refunds, the Refund & Cancellation Policy controls.

5.5 Promotional Codes and Pricing Changes

We may offer promotional pricing, discount codes, or limited-time offers at our discretion. We reserve the right to modify, suspend, or discontinue any aspect of the Services, including pricing, course content, schedules, instructors, course catalogue, or features, at any time and without liability, provided that we will honour any pre-paid membership term at the rate you paid.

06 Intellectual Property

6.1 ResusReady Ownership

All Content on or delivered through the Services — including text, graphics, logos, illustrations, anatomical diagrams, course videos, narration, audio recordings, slide presentations, knowledge check questions, assessments, branding, look-and-feel, and the underlying software — is the exclusive property of ResusReady or its licensors, and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

6.2 Limited Personal Licence

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your own personal, non-commercial educational use during the term of your membership or course enrolment.

6.3 Prohibited Use

Except as expressly permitted in writing, you may not:

  • copy, reproduce, download, screen-record, screenshot for distribution, distribute, publicly display, publicly perform, transmit, broadcast, or republish any Content;

  • create derivative works from, modify, translate, or adapt any Content;

  • sell, rent, lease, sublicense, or commercially exploit any Content;

  • use any Content to train, fine-tune, or evaluate any artificial intelligence or machine-learning model, or to develop any competing product or service;

  • remove or alter any copyright, trademark, or other proprietary notice;

  • reverse engineer, decompile, or attempt to extract the source code of any part of the Services;

  • use any robot, scraper, or automated means to access the Services or extract Content;

  • share login credentials or otherwise circumvent access controls.

6.4 Third-Party and Guest Content

Some Content may be contributed by guest instructors, contributors, or licensed from third parties. Such Content is used with permission and remains the property of the original rights-holder. The terms of any third-party licence may impose additional restrictions on your use of that Content, which we will communicate where applicable.

6.5 Feedback

If you send us feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate that feedback into the Services without obligation to you.

6.6 Trademarks

"ResusReady" and the ResusReady logo are trademarks of ResusReady Healthcare Inc. You may not use our trademarks without our prior written consent.

07 User Conduct

When using the Services, you agree not to:

  • use the Services for any unlawful, fraudulent, infringing, or unauthorized purpose;

  • upload, transmit, or share any content that is unlawful, harassing, defamatory, obscene, threatening, hateful, or that violates the privacy or rights of any other person;

  • upload, transmit, or share any patient-identifiable information, protected health information (PHI), or personal health information governed by privacy legislation;

  • impersonate any other person, including any ResusReady instructor, contributor, or employee;

  • attempt to gain unauthorized access to any part of the Services, other accounts, or our systems or networks;

  • introduce viruses, malware, or any other harmful code;

  • interfere with or disrupt the Services or the experience of other Users;

  • misrepresent your qualifications, credentials, scope of practice, or professional role for any purpose related to the Services.

 

We may, at our sole discretion, remove user-generated content that violates these Terms, suspend or terminate access, and report unlawful conduct to law enforcement or regulatory authorities.

08 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. RESUSREADY EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, AND QUIET ENJOYMENT.

Without limiting the foregoing, we do not warrant that:

  • the Services or Content will meet your requirements or expectations;

  • the Services will be uninterrupted, timely, secure, or free from errors, viruses, or other harmful components;

  • any defects will be corrected;

  • the Content is accurate, complete, current, or reflective of the standard of care, clinical guidelines, protocols, or scope of practice applicable to you;

  • any results, outcomes, certifications, credits, or career advancement will follow from your use of the Services.

 

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the disclaimers above apply to the maximum extent permitted by law, and nothing in these Terms is intended to limit any right you may have as a consumer that cannot be excluded or limited by contract.

09 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RESUSREADY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, PERSONAL INJURY, EMOTIONAL DISTRESS, OR ANY PROFESSIONAL, REGULATORY, EMPLOYMENT, OR LICENSING CONSEQUENCE, ARISING OUT OF OR IN CONNECTION WITH:

  • your access to, use of, or inability to use the Services;

  • any clinical decision, action, or omission made by you or any other person in reliance on the Content;

  • any patient outcome, adverse event, or harm to any person arising from the use, misuse, or misinterpretation of the Content;

  • any error, omission, inaccuracy, or out-of-date information in the Content;

  • any failure, suspension, modification, or discontinuance of the Services;

  • any unauthorized access to or alteration of your account or data;

  • any third-party content, conduct, or services accessed through the Services;

  • any participation in or injury arising from an in-person course;

whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not ResusReady has been advised of the possibility of such damages.

9.1 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF RESUSREADY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RESUSREADY IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

9.2 Carve-Outs

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including: (a) liability for personal injury arising out of the use or operation of a motor vehicle in British Columbia; (b) liability for fraud or fraudulent misrepresentation; (c) liability arising under non-waivable provisions of consumer protection legislation; or (d) any other liability that, as a matter of applicable law, cannot be excluded.

9.3 Allocation of Risk

You acknowledge that the disclaimers, limitations, and caps in Sections 8 and 9 are an essential element of the bargain between you and ResusReady, that they are reasonable given the educational nature and price of the Services, and that we would not offer the Services on these terms without them.

10 Indemnification

You agree to indemnify, defend, and hold harmless ResusReady from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your breach of these Terms;

  • your violation of any law or the rights of any third party;

  • your clinical practice, patient care, or any action or omission you take based on or in reliance on the Content;

  • any content you submit, post, or transmit through the Services;

  • your misuse of the Services or unauthorized sharing of access.

 

We may, at our discretion, assume the exclusive defence and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defence.

11 Third-Party Links & Services

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by ResusReady. We do not endorse, control, or assume responsibility for any third-party content, privacy practices, or services. Your dealings with any third party are solely between you and that third party. You should review the terms and privacy policies of any third party before engaging with them.

12 Privacy

Your use of the Services is also governed by our Privacy & Cookie Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in that policy.

13Suspension & Termination

13 Suspension & Termination

13.1 Termination by You

You may stop using the Services at any time. Cancellation of a paid subscription is governed by Section 5 and our Refund & Cancellation Policy.

13.2 Termination by ResusReady

We may suspend or terminate your account, your access to the Services, or these Terms, in whole or in part, at any time, with or without notice, if we reasonably believe that you have breached these Terms, that your continued access poses a risk to ResusReady or other Users, or that suspension or termination is required by law. Where the breach is not material and is capable of cure, we will, where reasonable, give you an opportunity to cure before terminating.

13.3 Effect of Termination

On termination, your right to access the Services ceases immediately. Sections that by their nature should survive — including Sections 3, 4, 6, 8, 9, 10, 14, 15, 16, and 17 — will survive termination. Termination does not entitle you to a refund except as expressly provided in our Refund & Cancellation Policy.

14 Changes to These Terms

We may update these Terms from time to time. If we make changes that we consider material, we will provide reasonable notice — for example, by posting an updated effective date, by email, or by an in-product notice — at least 14 days before the changes take effect (or as soon as reasonably practicable if a shorter period is required for legal or security reasons). Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance. If you do not accept the updated Terms, you must stop using the Services.

15 Dispute Resolution

 

15.1 Informal Resolution First

Before starting any formal proceeding, you agree to first contact us at hello@resusready.ca with a written description of the dispute and the relief you are seeking. We will work in good faith to resolve the dispute through direct discussion for a period of at least 30 days from the date of your notice.

15.2 Mediation

If we are unable to resolve the dispute informally within 30 days, the parties agree to attempt to resolve the dispute through mediation, conducted in Vancouver, British Columbia (or remotely by agreement), under the Mediation Rules of the ADR Institute of Canada or a successor body, before initiating any court proceeding. The parties will share the mediator's fees equally, subject to any reallocation a court may order. This Section 15.2 does not prevent either party from seeking urgent injunctive or equitable relief from a court before or during the mediation.

15.3 Court Proceedings

If the dispute is not resolved through informal discussion or mediation, either party may commence a court proceeding in accordance with Section 16.

15.4 Consumer Rights Preserved

Nothing in this Section 15 prevents you from bringing a claim in any small claims court of competent jurisdiction, from filing a complaint with a consumer protection authority, or from exercising any right under applicable consumer protection legislation that cannot be waived by contract, including under the British Columbia Business Practices and Consumer Protection Act.

16 Governing Law & Jurisdiction

These Terms, and any dispute arising out of or in connection with them or the Services, are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles.

Subject to Section 15 and to any non-waivable consumer rights you may have in your jurisdiction of residence, the courts of British Columbia have exclusive jurisdiction over any dispute, and you and ResusReady irrevocably submit to the jurisdiction of those courts.

International & U.S. Users

If you access the Services from outside Canada (including from the United States, the European Economic Area, the United Kingdom, or elsewhere), you do so on your own initiative and are responsible for compliance with local laws. You agree that your use of the Services is governed by the laws of British Columbia as set out above, except that nothing in these Terms removes any mandatory consumer protection right you have under the law of your country or state of residence that cannot be waived by contract.

17 General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy & Cookie Policy, the Refund & Cancellation Policy, and any course-specific waiver or agreement, form the entire agreement between you and ResusReady regarding the Services, and supersede any prior agreements.
 

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force. Where possible, the invalid provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

17.3 No Waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a corporate reorganization, merger, sale of assets, or similar transaction.

17.5 Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, public health orders, war, civil unrest, labour disputes, internet or utility outages, or third-party service failures.

17.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and ResusReady.

17.7 Notices

We may give you notice by email to the address associated with your account, by posting on the Services, or by any other reasonable means. You must give us notice at hello@resusready.ca.

17.8 Language

The parties have requested that these Terms be drawn up in English. Les parties ont exigé que ces conditions soient rédigées en anglais.
